You invest in BaumInvest AG shares, a non-listed stock corporation under German law (Aktiengesellschaft), with its headquarters in Freiburg im Breisgau and three subsidiaries in Costa Rica.
The business areas of BaumInvest AG are sustainable forestry and carbon compensation based on reforestation.

BaumInvest AG represents a solid investment and financing concept. Our stable assets mainly consist of tangible assets, such as land with forest stands, which are at the same time the production basis for the long-term production of sustainable timber and CO2 certificates. We cultivate a total of 2,060 hectares of land in Costa Rica, spread across five locations. This year, we are expanding this area by 1,550 hectares. More than 1,000 hectares of these 1,550 hectares will be actively reforested for corporate customers as part of a corporate carbon forest to offset their emissions.

BaumInvest is currently over 99 percent equity financed. The majority of the current number of more than 2,000 BaumInvest shareholders are private investors.

You invest in BaumInvest AG shares, a non-listed stock corporation under German law (Aktiengesellschaft), with its headquarters in Freiburg im Breisgau and three subsidiaries in Costa Rica.

BaumInvest AG represents a solid investment and financing concept. Our stable assets mainly consist of tangible assets, such as land with forest stands, which are at the same time the production basis for the long-term production of sustainable timber and CO2 certificates. What is a BaumInvest Share?
BaumInvest shares are “registered shares with restricted transferability”, which are not traded on the stock exchange. Several shares are certificated and combined in so-called collective certificates. These collective documents have a number and are kept in a collective certificate register.
Where and how can i purchase Shares?
In the context of a capital increase:
BaumInvest AG issues new shares as part of capital increases. These shares are first offered to existing shareholders within the frame of subscription rights. Shares that are not purchased by existing shareholders can be acquired by new shareholders.

Within the framework of the secondary market:
BaumInvest AG shares are also traded on a secondary market for sustainable shares. On this market, you can check whether shares are offered for sale by existing shareholders. What effect does the Dollar exchange rate have on my Investment?
A weak dollar rate is advantageous for land purchases and ongoing reforestation and maintenance costs. However, a strong dollar is advantageous for later harvest yields and the associated distributions. We assume that if the dollar depreciates further, timber prices will not remain pegged to the dollar course. It is important to know that the market for timber, as well as for other raw materials, does not depend on a specific currency. It depends on supply and demand.
WHAT CONTROLL OVER MY INVESTMENT DO I HAVE AS A SHAREHOLDER?
BaumInvest AG is a stock corporation under German law and therefore has to prepare financial statements. This means that annual financial statements must be presented each year and a general meeting, which all shareholders are invited to, is convened. The shareholders elect a supervisory board from among their ranks, which represents their interests vis-à-vis the management and exercises far-reaching control functions. In addition, the shareholders are kept informed of business developments on an ongoing basis. And they have the opportunity to participate in investor trips to visit the reforestation projects in Costa Rica.
Is there an obligation to make additional contributions or a loss sharing?
No. There is no obligation to make additional contributions or to share in losses. As a shareholder, you bear the maximum risk up to the purchase price for which you acquired the share(s).
How does the issue price of EUR 1.80 per share come about?
The issue price is part of the issue conditions of the respective capital increase, which are defined and decided in advance by the Management Board and which require the approval of the Supervisory Board. The issue price is defined on the basis of the current enterprise value of BaumInvest AG. As was the case when BaumInvest AG was founded through conversion and merger and during the first capital increases, an external auditing company was also commissioned with a value indication in the run-up to the current capital increase. This company value reflects current circumstances as well as the planned development of the company.
Why is the market price on the secondary market lower than the current issue price?
The market price on the secondary market is determined by supply and demand. The better known a company or share issuer is, the more demand there is for the share and the higher the market price. The BaumInvest AG share was not in high demand on the secondary market last year due to a low level of awareness. On the supply side, the ongoing pandemic situation, which led to “emergency sales” of shares, must also be taken into account, especially in the past year. Both factors influence the market price. The issue price, on the other hand, is based on the current enterprise value. This enterprise value reflects current circumstances as well as the planned development of the company. In the long term and with more activity on the secondary market due to higher brand awareness and the demand generated by this, the market price of the share should position itself above the calculated enterprise value.
